These terms are designed to support transparent, high-quality, and efficient service delivery for every client engagement.

1. Definitions and Interpretation

In these Terms, unless the context otherwise requires: "Contract" means the agreement between the Client and the Contractor for the provision of Services; "Client" means the person or entity engaging our Services; "Contractor" means Zenith Crest Maintenance Service (or "we", "our", "us"); "Services" means the property maintenance, renovation, refurbishment, or related services described in the Quotation or Job Confirmation; "Quotation" means our written or emailed estimate of cost; "Job Confirmation" means our written acceptance of an order; "Works" means the physical work to be carried out; "Property" means the premises at which the Works are to be carried out.

2. Scope of Services

Zenith Crest Maintenance Service provides property maintenance, renovation, and refurbishment services throughout the United Kingdom. Our services include but are not limited to:

  • Reactive and planned maintenance (cleaning, plumbing, electrical, heating, pest control, painting, appliance repairs, emergency repairs)
  • Renovation and refurbishment (surveyors, builders, joiners, electricians, gas engineers, decorators)
  • Gas work carried out exclusively by Gas Safe Register registered engineers in compliance with the Gas Safety (Installation and Use) Regulations 1998
  • Electrical work carried out by competent persons in compliance with BS 7671 and Part P of the Building Regulations

The specific scope of any engagement shall be set out in the Quotation and/or Job Confirmation. Any services not explicitly included in the Quotation are excluded unless agreed in writing.

3. Formation of Contract

A binding Contract is formed when: (a) the Client accepts a Quotation in writing, by email, or by conduct (including payment of a deposit); or (b) we issue a Job Confirmation following the Client's verbal or written instruction. Quotations are valid for 30 days from the date of issue unless otherwise stated. We reserve the right to withdraw or amend a Quotation at any time before acceptance.

4. Quotations and Pricing

Quotations are based on the information provided by the Client at the time of quotation. Prices are stated in pounds sterling (GBP) and are exclusive of VAT unless expressly stated otherwise. VAT will be charged at the applicable rate where we are VAT registered. We reserve the right to revise the price where:

  • Additional work is requested or required that was not included in the original Quotation
  • Unforeseen conditions are encountered (e.g. hidden defects, asbestos, structural issues)
  • Materials or labour costs increase significantly due to circumstances beyond our control

Any variation will be communicated to the Client in writing before additional work commences. The Client may accept or reject the variation; rejection may result in the original scope being completed without the variation.

5. Payment Terms

Unless otherwise agreed in writing: (a) a deposit may be required before Works commence, as specified in the Quotation; (b) interim payments may be requested for larger projects at milestones; (c) the balance is due within 14 days of completion or upon presentation of invoice. Payment methods include bank transfer (BACS) and other methods as communicated. Late payment shall incur interest at 8% per annum above the Bank of England base rate, plus reasonable recovery costs. We reserve the right to suspend Works where payment is overdue.

6. Cancellation, Rescheduling and Termination

Cancellation by Client: Cancellations must be made in writing. Where cancellation occurs less than 24 hours before a scheduled visit (other than emergency call-outs), we may charge a cancellation fee. For projects, cancellation after Works have commenced may result in charges for work completed and materials ordered or purchased.

Rescheduling: The Client may request to reschedule with at least 24 hours notice. We will endeavour to accommodate requests subject to availability. Repeated rescheduling may incur administrative charges.

Termination by Contractor: We may terminate or suspend the Contract with immediate effect if the Client breaches these Terms, fails to pay, or if circumstances (including safety concerns) make continuation inappropriate. We may also suspend for force majeure (see clause 14).

7. Access and Property

The Client shall provide: safe and unrestricted access to the Property at agreed times; necessary utilities (electricity, water, drainage) where required; a safe working environment free from hazards not disclosed to us; and information regarding any known hazardous materials (e.g. asbestos), pets, or access restrictions. We will treat the Property with care, protect finishes where possible, and leave work areas in a clean condition. Any damage caused by our negligence will be rectified at our expense.

8. Warranties and Defects

We warrant that Works will be carried out with reasonable skill and care and in accordance with applicable standards. Workmanship warranties (typically 12 months for general work, as specified in the Job Confirmation) apply from the date of completion. Defects must be notified to us in writing within the warranty period. We will rectify defects arising from faulty workmanship or materials at no extra cost. This warranty does not cover: damage from misuse, neglect, or third-party interference; normal wear and tear; or defects in materials supplied by the Client. Manufacturers' warranties apply to materials we supply where applicable.

9. Liability and Insurance

We maintain employer's liability insurance and public liability insurance in accordance with legal requirements. Our liability for any claim (whether in contract, tort, or otherwise) shall not exceed the total contract value of the relevant Works, except: (a) where statute prohibits such limitation; (b) in respect of death or personal injury caused by our negligence; (c) in respect of fraud or fraudulent misrepresentation. We shall not be liable for indirect, consequential, or incidental losses including loss of profits, business, or data.

10. Indemnity

The Client shall indemnify us against all claims, losses, and expenses arising from: the Client's breach of these Terms; the Client's failure to provide accurate information or access; or circumstances within the Client's control that cause delay or additional cost.

11. Force Majeure

Neither party shall be liable for delay or failure to perform due to circumstances beyond reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, pandemics, government action, supply chain failures, or severe weather. The affected party shall notify the other promptly and use reasonable endeavours to mitigate. If the force majeure continues for more than 30 days, either party may terminate the Contract in respect of the affected Works.

12. Dispute Resolution

In the event of a dispute, the parties shall first seek to resolve it by good-faith negotiation. If unresolved within 14 days, either party may refer the matter to mediation. Nothing in this clause shall prevent either party from pursuing legal remedies where appropriate.

13. General

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in effect.

Waiver: No waiver of any term shall be deemed a continuing waiver.

Entire Agreement: These Terms, together with the Quotation and Job Confirmation, constitute the entire agreement between the parties and supersede prior discussions.

Variation: No variation of these Terms shall be effective unless agreed in writing.

Third Parties: These Terms do not confer rights on any third party.

Governing Law: These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
